Legal Documentation –Middle / Junior Management Professional (3 to 10 years)

Job description:
- Negotiating, drafting, and vetting of Facility/Security documents pertaining to loan transactions viz. Facility Agreements, Corporate Guarantees, Personal Guarantees, Deed of Hypothecation/Assignment, Mortgage Deeds, MoEs, Share Pledge Agreement, Debenture Trust Deed, Security Trustee Agreement, Inter Creditor Agreement, Escrow Agreement, Declarations, Undertakings, Term Sheets, NDAs etc.
- Vetting of Title Search Reports, examining Title documents and other legal due diligences related to securities and collaterals for the facilities extended by the Company.
- Vetting of various Facility/Security documents executed by the borrowers and the Company.
- Drafting of various notices/letters pertaining to loan accounts.
- Negotiating, drafting, and vetting of various Service Provider Agreements, Vendor/Agency Agreements, Lease Agreements, Contracts, MoUs, NDAs etc.
- Co-ordinating with external Law Firms wherever required for customized transaction documentations.
- Co-ordinating with external Law Firms for standardization of Facility/Security documents.
- Update and advising the business function and Management on day-to-day legal developments/legal issues affecting the business operations of the Company.
Requirements.
Key Skills: Drafting and Vetting documents in PSU, Banks, NBFS, Financial Companies / Institutions.
Must have dealt With Loans of High value (INR- 10 CR - INR 250 CR)
Educational Qualification: LLB /LLM.
